Michelle L. Savin Associate
With a keen ability to listen and understand the specifics of many facets of the business world, Michelle Savin is focused on meeting the goals of corporate clients. Her work often connects her with closely held businesses and startups, but she also has considerable experience in the growing world of international business transactions. In addition, she has represented companies in a wide variety of industries, including those in manufacturing and service industries.
Michelle is equally adept at working with corporations on mergers acquisitions, divestitures, securities, general corporate counseling, and at helping businesses get started by forming operating, buy/sell, and shareholder agreements. For example, when working with a corporation to create an operating agreement, she is highly skilled at taking into account the various options clients have -- and is at ease navigating the often complex realities of how to set up a business structure that meets the needs of all owners. In doing so, she knows how to address key questions in a timely and responsive way about how a company is going to be managed, how profits and losses will be shared, and other key considerations. When representing clients that are buying companies, she understands the importance of thoroughly learning about the condition of the company that is being purchased; when representing sellers, she knows how to help clients ensure that they are getting fair terms. In a complex and competitive business environment where being precise and accurate is pivotal, she has proven to be a quick study who can advise companies on critical matters related to contracts, inventory, employees, facilities and other important areas.
In all cases, Michelle also maintains a steady and well-informed perspective of the payment structure of these transactions — whether financing comes from a bank or other entity, or even from the seller.
Before she came to Schuyler, Roche & Crisham, one of her experiences focused on an international client in a private securities offering of $5 million. Michelle played an instrumental role in advising the client regarding setting up day-to-day management in the U.S., managing the process of investor subscriptions, and filing a notice of a private securities offering with the SEC. Her experience has also included working with clients to accomplish tax-free reorganizations of their businesses; drafting complex shareholder and compensation agreements; negotiating commercial leases, and completing commercial real estate transactions.
Michelle represents clients with creativity and a strong capacity for problem-solving; her strengths include learning about businesses and their goals, interacting with clients — and making sure they meet their objectives. Friendly and personal with clients but tough when negotiating on their behalf, she understands the value of providing good advice to businesses in structuring a deal, accomplishing goals and successfully making changes to their business. If you are looking for a dedicated and savvy attorney with a capacity to understand the big picture as well as the details of your corporation's needs, give Michelle a call.
